October 2007 - INVEST IN THE STORE!
Hello friends,
It is only your help that will make the Saranac Lake Community Store a
reality. It is three months since our offering launch and we have sold
$115,000. We need to get to $500,000 to make the store viable and
December 17th is our goal. At that point our 6 month period to sell
shares expires. We will have to reapply for an extension if we do not
make our goal. We have a long way to go.
Your investment will go into an escrow account until we reach $500,000.
If by chance (say it ain't so) we do not reach our goal, your
investment will be returned with interest.
Everywhere I go people say "Oh yeah, I have to buy my shares". Well,
the time has come. If you support the vision of a downtown store that
will sell what the tri-lakes wants and if you believe in "shopping
locally", you should invest in the Community Store. Buy it as a
birthday gift for your loved one, for your child, for Christmas for
your partner or spouse. Buy it for yourself and for the future of the
area. We can all talk the talk, but now we need to walk the walk. It
would be a tragedy if this project couldn't move forward because of
lack of community commitment.
If you cannot buy a share now but can pledge to buy a share when you
can, please let me know.
And for those of you that want to know "where will it be", I can tell
you that we are working on a site and have a very clear vision of where
it will be.

style Community Store gathering and invite interested friends, Melinda
and I would be happy to come (with wine and cheese or coffee and

talk about the store.

Dear Friends:
I am writing to bring you up to date on the Community Store and to ask
for your help one more time.
Let me start by bringing you up to date. Our interim Board of Directors
is now in place and meeting on a regular basis. The role of this group
will be to sell the shares of stock, and oversee the process of
establishing the store, including identifying a location, hiring a
manager and buyer, etc. Once the stock offering is complete, this
Board will step down and a new more permanent Board will be elected by
the shareholders.

The draft of the Stock
Offering document (also known as a Prospectus) has been completed and
we hope to file it with the NYS Attorney General’s office by April
1st. Once we have approval from that office, we’ll be ready to
put the shares of stock on sale. Each share will cost $100 and there
will be a per person limit of $10,000. Prospective stockholders will
receive a copy of the Prospectus and an Investor Questionnaire to
review and evaluate before making a final decision regarding their
investment.
And finally, we are in the process of searching for a location.
We had hoped that the Swift Supply building might be a possibility but
it was ruled out due to a non-compete clause in the landlord’s existing
lease with the Family Dollar Store. We are currently waiting to
receive an engineer’s report on the viability of taking over the
Meyer’s Gift building. In the meantime, if anyone has other
suggestions, please let us know. Keep in mind that we need a
minimum of 5,000 square feet of selling space.
As I said initially, we need your financial help for what I hope will
be one final push. The total projected filing fees with the State are
expected to be $3,484. Thanks to your generosity, we have $2,624
towards this already but need another $860 by April 1st to complete the
process. In addition, for the next three – four months, we need an
estimated $1,320 for the printing and binding of 500 copies of the
Prospectus, $1,500 for advertising and $500 for possible contingencies,
thus bringing our total need to $4,180.
